Governance Guidelines and Policies

Corporate Governance Guidelines
The Corporate Governance Guidelines of Huron Consulting Group Inc. have been adopted by the company's board of directors to assist it in the exercise of its responsibilities. These guidelines reflect the board's commitment to monitor the effectiveness of policy and decision making both at the board and management level.

Code of Business Conduct and Ethics
The purpose of the Code of Business Conduct and Ethics, which has been approved by the board of directors of Huron Consulting Group Inc., is to reinforce and enhance the company's commitment to an ethical way of doing business. The policies set forth in the Code are part of the company's tradition of promoting ethical business standards.

Insider Trading
Huron has adopted a policy to help prevent insider trading by its personnel. The purpose of this policy is to protect you from inadvertently violating insider trading laws.  

Harassment
Huron Consulting Group strictly prohibits all forms of discrimination and harassment (including sexual harassment) of any employee based upon that person's race, color, creed, religion, national origin, sex, marital status, pregnancy, disability, sexual orientation, veteran status, age, FMLA status, or any other basis protected by federal, state or local statute, ordinance or regulation. Huron Consulting Group is committed to the prevention of any and all impermissible discrimination and harassment. All members of management and other employees are protected by this policy and responsible for ensuring that harassment in violation of this policy does not occur

Drugs, Narcotics, Alcohol
Huron Consulting Group (the Company) considers illegal drugs and alcohol in the workplace to be a hazard to an employee’s health, dangerous to every employee’s safety and a hindrance to maintaining a productive and qualified workforce. Substance abuse is an impediment to competent workers and quality products, and as such cannot be condoned in the workplace. Accordingly, the Company is dedicated to maintaining a workplace free of illegal drugs and alcohol.

Violence Free Workplace
Maintaining a safe and secure work environment for all employees is a priority at Huron. To keep our workplace a safe and desirable one, Huron maintains a Violence-Free Workplace Policy. Acts or threats of physical violence, including intimidation, harassment and/or coercion, which involve or affect the Company, or which occur on Company property, will not be tolerated.

FCPA Program and Policy

The FCPA impacts how we do business in other countries.  The FCPA Compliance Program governs hiring, contracting and expenditures related to foreign activities.  Individuals who are involved in business development activities outside the US, provide services to clients located outside the US, or support activities outside the US are required to complete this training course.

HIPAA and HIPAA PHI Breach Determination and Notification Process
Huron’s HIPAA Compliance Program provides basic knowledge about HIPAA, establishes behavioral guidelines for personnel to meet the various standards, defines the responsibilities of Managing Directors and engagement leaders, and establishes accountability for HIPAA compliance oversight.  Individuals who use or have access to protected health information are required to review this Program and to complete the training on an annual basis.
