Many agreements for the acquisition or merger of companies contain certain provisions for the adjustment of the purchase price based on factors determined after the transaction date. These provisions, such as working capital and future earn out, may lead to disputes between the parties.

In addition, after a transaction the purchaser may discover information which allegedly would have influenced the purchase price.
